Terms of Use

By accessing or using Equalza.com (the "Site") or any of its tools and services, you agree to be bound by these Terms of Use ("Terms"). These Terms form a legally binding agreement between you and Equalza. If you do not agree, you must immediately stop using the Site.

If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Equalza provides a suite of free, browser-based online tools for processing images, videos, PDFs, audio files, text, and SEO data (the "Service"). Our tools run entirely within your web browser using modern web technologies such as WebAssembly, Web Workers, and Canvas API.

We offer a free tier and a paid subscription ("Pro"). Features, quotas, and capabilities differ between tiers. Equalza reserves the right to modify, suspend, or discontinue any feature at any time.

To use the Service, you must:

• Be at least 16 years of age. Users between 16 and 18 must have parental or guardian consent.
• Have the legal capacity to enter into a binding agreement in your jurisdiction.
• Not be subject to sanctions or trade restrictions that prohibit use of this Service.
• Not have been previously terminated from the Service by Equalza.

Certain features, including Pro subscriptions, require an account. When registering, you agree to:

• Provide accurate and complete information.
• Keep your credentials confidential and not share them with third parties.
• Notify us immediately at [email protected] if you suspect unauthorized access.
• Accept responsibility for all activity under your account.

Equalza grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes. This license does not include:

• Any right to sublicense, resell, or provide the Service to third parties.
• Any right to copy, modify, or create derivative works from the Service's code, design, or content.
• Any right to use the Service beyond permitted usage limits.

You retain full ownership of any files, data, or content you process ("Your Content"). Equalza claims no ownership over Your Content.

By using the Service, you grant Equalza a limited, royalty-free license solely to operate the Service for you — for example, temporarily loading a file in browser memory to execute a requested operation.

You warrant that:

• You own Your Content or have all necessary rights to use it with the Service.
• Your Content does not violate any third-party rights or applicable law.
• Your Content does not contain illegal, defamatory, obscene, or harmful material.

Equalza's tools process your files entirely within your web browser. This means:

• No server uploads: Your files are never transmitted to Equalza's servers.
• No file storage: We do not store, cache, or retain copies of your files.
• No file access: Equalza's team cannot view or analyze the contents of your files.
• No retention period: Since nothing is uploaded, there is nothing to delete — your files remain exclusively on your device.

This privacy-by-design architecture means our tools work with your device's built-in accessibility features and often function offline.

Note: Certain optional features may use third-party cloud processing. These will be clearly marked and require separate consent before any file leaves your device.

You agree not to use the Service to:

• Process or distribute illegal, infringing, defamatory, obscene, or abusive content.
• Violate any applicable local, national, or international law or regulation.
• Infringe any intellectual property, privacy, or other rights of third parties.
• Upload or process files containing malware, viruses, or any malicious code.
• Use automated systems, bots, or scrapers beyond normal human usage without prior written permission.
• Attempt unauthorized access to any part of the Service or its underlying systems.
• Circumvent or interfere with any security feature, usage limit, or access control.
• Collect personal information of other users.
• Use the Service to build a competing product or for commercial resale without written permission.
• Impersonate any person or entity or misrepresent your affiliation.

All elements of the Service — including software code, design, user interface, graphics, logos, trademarks, and content — are owned by Equalza or its licensors and protected by applicable intellectual property laws.

Nothing in these Terms grants you any right beyond the limited license stated above. You retain full ownership of your processed files; Equalza claims no rights over them.

The free tier is supported by advertising revenue. By using the free tier, you acknowledge:

• The Site displays third-party advertisements through Google AdSense and potentially other ad networks.
• Ads may be served based on contextual or interest-based targeting by third-party networks subject to their own privacy policies.
• Equalza is not responsible for the content or practices of third-party advertisers.
• You may opt out of interest-based advertising through your browser settings or the ad network's opt-out mechanisms.

Pro subscribers may receive a reduced or ad-free experience as described in current plan details.

By subscribing to Pro, you agree to:

• Pricing: Current prices are displayed at purchase and may be in USD or local currency equivalents.
• Payment: Payments are processed by our third-party payment provider. You authorize recurring charges to your selected payment method.
• Taxes: Prices may exclude applicable taxes (VAT, GST, sales tax), which are your responsibility.
• Billing errors: Report incorrect charges to [email protected] within 30 days.
• Refunds: All payments are non-refundable except where required by applicable law or expressly stated at purchase.

Pro subscriptions renew automatically on a monthly or annual basis. By subscribing, you authorize Equalza to charge your payment method at the end of each billing period until you cancel.

• Cancellation: Cancel anytime via account settings. Access continues until end of the current billing period.
• Price changes: We give at least 30 days' notice before price changes. Continued use constitutes acceptance.
• Free trials: Free trials convert to paid subscriptions at expiration unless canceled beforehand.

Where Equalza incorporates AI-powered features:

• We do not use your files or outputs to train, fine-tune, or improve any AI or machine learning models.
• You agree not to use Equalza's AI-generated outputs as training data for any third-party AI system without explicit written permission.
• AI outputs are for informational or productivity purposes only — not legal, medical, financial, or professional advice.
• Equalza does not guarantee the accuracy or fitness of any AI-generated output.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
• WARRANTIES AS TO THE ACCURACY OR RELIABILITY OF ANY TOOL OUTPUT.
• WARRANTIES THAT RESULTS WILL MEET YOUR SPECIFIC REQUIREMENTS.

Processing results may vary by file type, browser version, and device capabilities.

TO THE FULLEST EXTENT PERMITTED BY LAW, EQUALZA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS.

Liability caps by tier:

• Free tier: Total liability shall not exceed USD $0, as the Service is provided at no cost.
• Pro tier: Total liability shall not exceed the greater of (a) fees paid in the 3 months preceding the claim, or (b) USD $10.

You agree to indemnify, defend, and hold harmless Equalza, its officers, directors, employees, agents, and service providers from any claims, damages, costs, and fees (including attorneys' fees) arising from:

• Your use of the Service.
• Your Content, including any claim it infringes third-party rights.
• Your violation of these Terms or applicable law.
• Any activity under your account.

Our Privacy Policy (at /privacy-policy) describes how we collect and protect your personal information and is incorporated into these Terms by reference.

Users in the EEA, UK, or other jurisdictions with data protection laws have rights to access, correct, delete, and port their data. Contact us at [email protected].

Because our tools process files entirely in your browser, no file content is ever sent to our servers — minimizing privacy risk by design.

Equalza respects intellectual property rights. If you believe content on the Site infringes your copyright, send a written notice to [email protected] including:

1. Your physical or electronic signature.
2. Identification of the copyrighted work claimed to be infringed.
3. Identification of the infringing material and its URL on the Site.
4. Your contact information.
5. A statement of good-faith belief that the use is unauthorized.
6. A statement under penalty of perjury that the information is accurate and you are the rights holder or authorized agent.

Equalza may suspend or terminate your access at any time, with or without notice, if you violate these Terms, create legal liability, engage in fraudulent behavior, or if required by law.

Upon termination, your license immediately ceases. Sections that by their nature survive termination will do so, including Intellectual Property, Indemnification, Disclaimer of Warranties, Limitation of Liability, and Governing Law.

Equalza shall not be liable for failure or delay caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, government actions, internet outages, cyberattacks, or other force majeure events. We will use commercially reasonable efforts to resume normal operation as quickly as possible.

These Terms are governed by the laws of the State of Israel, without regard to conflict of law provisions.

Consumers in the European Union may also be entitled to protection under the mandatory consumer protection laws of their country of residence.

Before formal proceedings, you agree to attempt informal resolution by contacting us at [email protected]. We will make good-faith efforts to resolve disputes within 30 days.

If informal resolution fails, disputes shall be resolved by competent courts in Israel. Nothing prevents either party from seeking emergency injunctive relief from any court of competent jurisdiction.

Equalza may modify these Terms at any time. For material changes we will: update the "Last updated" date, notify registered users by email where applicable, and display a prominent notice on the Site. Continued use after modifications constitutes acceptance of the updated Terms.

Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary; all remaining provisions stay in full effect.

No Waiver: Failure to enforce any provision does not waive that right.

Entire Agreement: These Terms, our Privacy Policy, and any product-specific terms constitute the entire agreement between you and Equalza.

Assignment: You may not assign these Terms without our prior written consent. Equalza may assign its rights and obligations without restriction.
